New Year, New Rituals Giveaway Official Rules (“Official Rules”)
NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS GIVEAWAY.
ELIGIBILITY: The Colorescience & Simplified “New Year, New Rituals” Promotional
Giveaway (the “Giveaway”) is open to legal residents of the United States who are 18 years of age or older. Employees, officers or directors of Colorescience, Inc., Emily Ley Paper, Inc. d/b/a Simplified (collectively, “Sponsor”), or any of their respective parents, subsidiaries, affiliates, or any advertising or promotion agencies involved in this Giveaway (collectively, the “Giveaway Entities”), as well as the immediate family and household members of each such person, are not eligible to participate. Void where prohibited.
SWEEPSTAKES PERIOD: The Giveaway begins on January 22, 2026 at 9:00 a.m. Pacific Time (“PST”) and ends on January 24, 2026 at 8:59:59 a.m. PST (the “Giveaway Period”). The Sponsor’s database computer is the official time-keeping device for this Giveaway.
HOW TO ENTER: During the Giveaway Period: (1) follow each of @colorescience + @simplified on Instagram; (2) like the Instagram post announcing the Giveaway; (3) tag two friends in the comments; and (4) share the post.
Limit one (1) entry per person and per social media account. Any attempt to enter more than one (1) time via multiple names, email addresses, social media accounts, or any other means, may result in disqualification from this and any other promotional offerings from Sponsor. Use of any macro, bot, script or other automated means to submit entries is prohibited. Proof of posting is not proof of accessibility of the posting to Sponsor or anyone else. Sponsor’s database computer is the official timekeeping device for the Giveaway. Each entry will be deemed submitted by the authorized account holder of the email account associated with the entry or associated with the social media account used to enter. An “authorized account holder” is defined as the natural person to whom the email address is assigned by an internet service provider, online service provider or other organization that is responsible for assigning email addresses for the domain
associated with the social media account used to enter.
WINNER SELECTION AND NOTIFICATION: The winner will be selected in a random drawing from among all eligible entries at or about 9:00 am PST on January 24, 2026. The winner will be notified via direct messaging. No liability is assumed for any winner notification that is lost, intercepted or not received by a potential winner for any reason. Failure to respond to any winner notification by 5 p.m. PST on January 27, 2026 may result in disqualification and selection of an alternate winner. Judges’ decisions are final and binding in all matters relating to this Giveaway.
The winner may be required to execute a Declaration of Eligibility and Release, including a liability release and a publicity release (where legal) (“Prize Claim Documents”). If any potential winner is a minor under the laws of such potential winner’s state of residence and is otherwise eligible to enter to win the Giveaway prize, at Sponsor’s option, the applicable prize either may be awarded in the name of parent or legal guardian of the winner, or parent or legal guardian of winner may be required to ratify and sign all required documents. If a potential winner fails to comply with Sponsor’s requests for Prize Claim Documents, is found to be ineligible, or cannot or does not comply with these Official Rules, the potential winner may be disqualified and prize may be awarded to an alternate winner.
PRIZES/ODDS: The Giveaway prize consists of one (1) $200 Colorescience gift card for use to purchase Colorescience products, and one (1) $200 Simplified gift card for use to purchase Simplified products. The gift cards do not have an expiration date for use.
The prize is non-transferable and no cash equivalent or substitution of the prize is offered, except at the sole discretion of the Sponsor. Sponsor may substitute a prize of comparable value if advertised prize becomes unavailable. The winner is responsible for all federal, state and/or local taxes, and for any other fees or costs associated with acceptance or use of any prize. Total ARV of each prize is $400. The winner will be issued an IRS Form 1099 for this amount.
Odds: The odds of winning depend on the number of eligible entries.
ADDITIONAL RULES: Acceptance of a prize constitutes winner’s permission for Sponsor to use winner’s name, photograph, likeness, voice, biographical information, statements and address (city and state) in the list of winners and otherwise for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation except where prohibited by law. By participating, you (i) agree to be bound by these Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of the judges, which are final and binding in all matters relating to the Giveaway. Failure to comply with these Official Rules may result in disqualification from the Giveaway. Entry materials/data that have been tampered with or altered are void. No responsibility is assumed for: (i) lost, late, misdirected, damaged, garbled, incomplete or illegible entries, all of which are void; (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, mobile device, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems; or (iii) any injury or damage to entrant’s or any other person's mobile device related to or resulting from participating in the Giveaway.
Sponsor reserves the right to: (i) permanently disqualify from any promotion it sponsors any person it believes has intentionally violated these Official Rules; and (ii) suspend, modify or terminate the Giveaway if Sponsor believes, in its sole discretion, that malfunction, error, disruption or damage is impairing or will impair the administration, security, fairness, integrity or proper conduct of the Giveaway. Any individual who is found to be tampering with the entry process or the operation of the Giveaway, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Giveaway, or to annoy, abuse, threaten or harass any other person, may be disqualified, and Sponsor reserves the right to seek damages and other remedies from
any such person to the fullest extent permitted by law.
Only the type and quantity of prizes described in these Official Rules will be awarded. If, for any reason, more bona fide winners come forward seeking to claim prizes in excess of the number of each type of prize set forth in these Official Rules, the winner of the advertised number of prizes available in the prize category in question may be selected in a random drawing from among all persons making purportedly valid claims for such prize(s). Inclusion in such drawing shall be each entrant’s sole and exclusive remedy in such circumstances.
Sponsor reserves the right to modify, extend, suspend, or terminate the Giveaway, in whole or in part, if it determines, in its sole discretion, that the Giveaway is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other unintended circumstances have impaired the integrity, administration, security, proper play and/or feasibility of the Giveaway as contemplated herein. If the Giveaway is terminated before the designated end date, Sponsor will (if possible) select a winner in a random drawing from all eligible, non-suspect entries unaffected by the problem. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy in such circumstances.
RELEASE OF LIABILITY: By participating in the Giveaway, you (and if you are a minor,
your parent or legal guardian) agree that the Giveaway Entities (a) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Giveaway or any Giveaway-related activity, or from acceptance, awarding, receipt, possession and/or use or misuse of any prize or any products purchased using the prize, and (b) have not made any warranty, representation or guarantee, express or implied, in fact or in law, with respect to any prize or any products purchased using the prize, including, without limitation, to such prize’s quality or fitness for a particular purpose. Nothing in these Official Rules limits or excludes the liability of the Sponsor for fraud or for death or personal injury caused by the negligence of the Sponsor.
By participating in the Giveaway, you further agree that (a) any and all disputes, claims, and causes of action arising out of or in connection with the Giveaway, or any prize awarded, shall be resolved individually without resort to any form of class action; (b) any claims, judgments and awards shall be limited to reasonable and actual out-of-pocket costs incurred, including costs associated with entering the Giveaway, but in no event attorney's fees; and (c) under no circumstances will you be permitted to obtain any award for, and you hereby waive all rights to claim, punitive, incidental, indirect or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for reasonable and actual out-of-pocket expenses. These rules and any disputes relating hereto are governed by the internal laws of the State of California without regard to principles of conflicts of laws, and by entering, you consent to the exclusive jurisdiction of the state and federal courts in San Diego, California for resolution of any disputes relating to the Giveaway and waive any objection thereto. For New Jersey Residents: Nothing herein prohibits recovery of damages or attorneys’ fees where required by statute.

WINNER LIST: For the winner names, send a stamped, self-addressed envelope to: New Year, New Rituals Giveaway, Colorescience, Inc., 2141 Palomar Airport Road, Suite #200, Carlsbad, CA 92011. All such requests must be received within sixty (60) days after the end of the Giveaway Period.
